THIS VOLUNTARY MEMBERSHIP AGREEMENT (the “Agreement”) is made and entered into between the undersigned prospective member (the “Member”) and Food Alkhemix Private Membership Association (the “Association” or “Food Alkhemix”), effective on the date the Member executes this Agreement electronically.

PREAMBLE

WHEREAS, Food Alkhemix is a private membership association and auxiliary of Temple of Conscious Living, a Private Ministerial Faith-Based Association, existing for the benefit of its Members and not open to the general public in its private member offerings, teachings, circles, resources, sessions, community spaces, or internal exchanges;

WHEREAS, Food Alkhemix provides a private member space for those who desire to remember sovereignty from within, restore right relationship with the living body, and participate in private education, spiritual inquiry, nourishment, embodiment, energy, and living-systems transformation;

WHEREAS, the Member desires to enter this private association knowingly, willingly, intentionally, and by the Member's own free will, in the Member's private capacity, as an act of conscience and voluntary agreement;

WHEREAS, membership in Food Alkhemix establishes a private associational relationship between the Member and the Association and provides access, as applicable, to private teachings, resources, sessions, circles, workshops, books or PDFs offered inside the portal, community spaces, member communications, AIM-related access, and other present or future Food Alkhemix member offerings;

WHEREAS, the Member understands that certain pathways or offerings, including AIM: Aligned Inner Mastery, may require separate enrollment, acceptance, Member offerings, or additional agreements before participation;

WHEREAS, membership is voluntary and may be withdrawn or terminated according to the terms of this Agreement and the Bylaws of the Association;

NOW, THEREFORE, the Member agrees to the following terms and conditions of membership.

SECTION 1 — MEMBERSHIP STATUS, ACCEPTANCE, AND MEMBER INFORMATION

1.1 Request for Membership

By executing this Agreement, the Member formally requests acceptance as a Member of Food Alkhemix Private Membership Association.

Execution of this Agreement constitutes the Member's binding acceptance of its terms but does not, by itself, constitute acceptance of the Member's request for membership.

Membership begins only upon acceptance of the Member's request by Food Alkhemix, Temple of Conscious Living, or their authorized steward, manager, trustee, founder, or representative.

Upon acceptance, the Member enters Food Alkhemix with the rights, privileges, responsibilities, and obligations associated with the Member's applicable class of membership and as provided by this Agreement and the Bylaws.

1.2 Governing Documents

By executing this Agreement, the Member agrees to be bound by its terms, by the Bylaws of the Association as in effect from time to time, and by the Privacy Policy as in effect from time to time.

In any conflict among these documents, the Bylaws control; in any conflict between the Bylaws and the equitable foundation set forth in Article I of the Bylaws, that foundation prevails.

SECTION 2 — MEMBER COMMITMENTS

The Member commits to the following:

The Member affirms and supports the mission of Food Alkhemix: to provide a private forum for education, self-inquiry, spiritual exploration, nourishment, embodied practice, and the restoration of sovereignty from within, including remembrance of the intelligence of the living body, the sacred nature of nourishment, consent, inner authority, self-governance, Natural Law, spiritual conscience, and right relationship.

The Member commits to understanding and respecting the private contractual and associational nature of Food Alkhemix, including private assembly, freedom of association, freedom of contract, freedom of spiritual exercise, freedom of speech, conscience, privacy, and the private governance and resolution of internal Association affairs through the processes established by its governing documents.

The Member commits to maintaining absolute confidentiality regarding the private affairs of the Association, including its teachings, sessions, recordings, writings, communications, internal decisions, resources, community discussions, and Member information, and to protecting the privacy of fellow Members.

The Member commits to participating with honor, respect, honesty, good faith, discernment, self-responsibility, and regard for the trust inherent in the private member relationship.

The Member commits, as circumstances permit, to supporting and participating in the educational, spiritual, and community mission of Food Alkhemix through such teachings, discussions, sessions, circles, workshops, gatherings, resources, and other Member experiences as the Member chooses to enter.

The Member commits to honoring personal autonomy and responsibility by deciding for themselves the value, wisdom, and application of any teaching, counsel, session, pathway, experience, resource, discussion, or assistance received within Food Alkhemix.

The Member commits to fulfilling all dues, Member offerings, contributions, honorariums, equitable exchanges, or other obligations voluntarily agreed to in connection with membership or participation in a particular offering.

The Member commits to complying with the Bylaws, policies, procedures, community guidelines, and decisions of the Association as lawfully adopted within the authority established by its governing documents, and to supporting the private posture of Food Alkhemix by refraining from unauthorized disclosure of Association information or internal affairs to non-Members, third parties, government agencies, regulatory bodies, or public entities.

The Member understands that participation in Food Alkhemix is voluntary and that sovereignty includes discernment, consent, self-responsibility, and conscious participation.

SECTION 3 — MEMBER RIGHTS AND PRIVILEGES

Upon acceptance of the Member's request for membership, the Member possesses the following rights and privileges, subject to the Bylaws, this Agreement, and the terms applicable to any particular pathway or offering:

The Member has the right to participate in the private member space of Food Alkhemix and to access such Member communications, community spaces, teachings, resources, materials, gatherings, and other membership benefits as are made available to the Member's applicable membership class.

The Member has the right to participate in private educational, spiritual, and experiential offerings made available through Food Alkhemix, including opportunities related to nourishment, food wisdom, body intelligence, gut health education, fasting and detox education, energy, sound, ritual, spiritual self-inquiry, inner authority, consent, discernment, sovereignty, living-systems awareness, private community, and seven-generation responsibility.

The Member has the right to access such books, PDFs, recordings, study materials, writings, private resources, and other educational materials as Food Alkhemix makes available to the Member through the private Member portal or other private channels.

The Member has the right to participate in private discussions, circles, workshops, gatherings, community spaces, and Member exchanges made available through the Association, subject to the requirements, capacity, scheduling, contribution, enrollment, or additional agreement applicable to a particular offering.

The Member has the right to propose topics, questions, discussions, gatherings, or collaborative experiences for consideration by the Association, subject to the mission, discretion, and operational capacity of Food Alkhemix.

The Member has the right to inquire into, discuss, question, and explore the teachings, perspectives, practices, and subject matter presented within Food Alkhemix and to exercise the Member's own discernment concerning their meaning, value, wisdom, and application.

The Member has the right to health freedom, spiritual conscience, personal autonomy, and responsibility in matters concerning the Member's own body, food, health, spiritual path, private affairs, education, family, energy, choices, and life.

The Member has the right and responsibility to decide for themselves the value, wisdom, and application of any counsel, teaching, session, pathway, experience, resource, discussion, or assistance received within Food Alkhemix.

The Member has the right to privacy and confidentiality within the private member relationship, subject to the Bylaws, Privacy Policy, this Agreement, and such disclosures as the Member authorizes or as otherwise provided by the governing documents of the Association.

The Member has the right to communicate questions, concerns, ideas, and grievances to Food Alkhemix through the private processes established by the Association.

The Member has the right to be heard in any internal dispute-resolution process in which the Member is a party, including the opportunity to present relevant facts, information, arguments, and supporting materials according to the procedures established in the Bylaws.

The Member has the right to voluntarily choose which additional Food Alkhemix pathways, sessions, circles, workshops, events, resources, communities, or experiences the Member wishes to enter, subject to any separate enrollment, acceptance, Member offering, scheduling requirement, or additional agreement applicable to that offering.

General membership does not automatically entitle the Member to every experience, course, session, circle, workshop, event, community, private resource, book, PDF, or offering made available through Food Alkhemix.

The Member has the right to withdraw from membership voluntarily in accordance with this Agreement and the Bylaws.

SECTION 4 — MEMBER RESPONSIBILITIES AND CONDUCT STANDARDS

The Member acknowledges the following responsibilities and agrees to maintain conduct consistent with the purposes, privacy, integrity, and private posture of Food Alkhemix:

The Member shall maintain absolute confidentiality regarding the private affairs of the Association and shall take affirmative steps to protect the privacy of Food Alkhemix, Temple of Conscious Living, their Members, communications, records, teachings, materials, finances, internal decisions, activities, and Member spaces. The Member shall not voluntarily disclose, publish, record, disseminate, or otherwise share such private information with any third party, government agency, regulatory body, public entity, media outlet, internet platform, public forum, or non-Member except as authorized under the governing documents of the Association.

The Member shall not engage in any conduct that would expose the Association to regulatory scrutiny, government investigation, or public disclosure contrary to the Association's private posture.

The Member shall conduct all interactions with fellow Members, Association leadership, stewards, facilitators, contributors, and guests with respect, honesty, good faith, self-responsibility, and regard for the integrity of the private member relationship. The Member shall not engage in abusive, violent, harassing, threatening, coercive, deceptive, predatory, defamatory, disruptive, dishonorable, or destructive conduct.

The Member shall not use membership in Food Alkhemix, Association resources, or access to other Members for purposes inconsistent with the Association's mission or private nature, including unauthorized commercial solicitation, harvesting of Member information, surveillance, investigation, entrapment, impersonation, interference, disruption, or exploitation.

The Member shall comply with the Bylaws and all reasonable policies, procedures, community guidelines, access requirements, and decisions lawfully adopted within the authority established by the Association's governing documents, and shall refrain from conduct that violates applicable law or subjects the Member or Association to legal liability.

The Member acknowledges that membership entails a personal commitment to the private contractual and associational nature of Food Alkhemix and shall not undertake actions designed to undermine that private relationship, its internal governance, or its private processes for resolving Association affairs.

SECTION 5 — CONSIDERATION AND MEMBER OFFERINGS

Membership in Food Alkhemix does not require monetary dues unless otherwise established for a particular class of membership.

The parties acknowledge that this Agreement is supported by adequate consideration and constitutes a binding bilateral contract. Consideration includes the mutual promises, commitments, rights, privileges, responsibilities, and obligations undertaken by the Association and the Member under this Agreement.

Certain pathways, sessions, circles, workshops, events, resources, or other Member experiences may require a separate Member offering. Such offerings may include contributions, donations, honorariums, gifts, private exchanges, equitable exchange, or other amounts voluntarily agreed to by the Member.

Member offerings support the stewardship, creation, maintenance, development, and continuation of Food Alkhemix, its private Member experiences and resources, and the mission of Temple of Conscious Living. Applicable amounts and terms shall be communicated before the Member enters the particular offering.

Members may also make voluntary additional contributions in furtherance of the Association's mission.

Unless otherwise stated in writing, Member offerings are made within the private Member relationship and are not public commercial purchases.

Food Alkhemix may use third-party payment processors to facilitate Member offerings and other financial exchanges.

SECTION 6 — GOVERNANCE

Food Alkhemix is governed in accordance with its Bylaws and governing documents. “Leadership” means the person or persons authorized thereunder to steward, administer, and exercise decision-making authority on behalf of the Association.

Membership does not confer voting rights, governance authority, authority to admit or approve Members, or authority to bind or represent the Association unless expressly granted in writing.

Leadership may invite Member input through meetings, discussions, circles, or other private forums; however, such participation does not transfer governance or decision-making authority.

Policies, procedures, operational decisions, Member requirements, and amendments shall be adopted through the authority and processes established by the Bylaws and governing documents.

SECTION 7 — WITHDRAWAL AND TERMINATION

The Member may withdraw from Food Alkhemix at any time by providing notice through the method established by the Association.

Food Alkhemix may suspend, restrict, or terminate membership or pathway access for material breach of this Agreement or the Association's governing documents, including breach of confidentiality or privacy; unauthorized disclosure or misuse of Association or Member information or materials; failure to fulfill agreed financial obligations; abusive, deceptive, disruptive, dishonorable, or destructive conduct; conduct contrary to applicable law; conduct that exposes the Association to legal liability, regulatory scrutiny, government investigation, or public disclosure contrary to its private posture; or conduct materially contrary to the mission, safety, privacy, coherence, or integrity of Food Alkhemix or Temple of Conscious Living.

Termination shall be administered by Leadership in accordance with the Bylaws and applicable internal procedures, including any right of the Member to be heard provided therein.

Upon withdrawal or termination, the Member's access to private Association spaces, communications, resources, materials, and benefits shall cease. No right to refund arises except as expressly provided by this Agreement, applicable offering terms, or the Bylaws.

Obligations concerning confidentiality, privacy, intellectual property, proprietary materials, and other provisions intended to survive membership shall remain in effect after withdrawal or termination.

SECTION 8 — DISPUTE RESOLUTION

Any dispute between Members or between a Member and Food Alkhemix shall first be addressed privately through direct negotiation and good-faith internal resolution.

If unresolved, the dispute shall proceed through the private resolution process established by the Bylaws and administered or designated by Leadership, including private arbitration where applicable. Each party shall have the opportunity to present relevant facts, arguments, documents, and evidence.

All dispute-resolution proceedings, communications, records, findings, and outcomes shall remain private and confidential.

The Member agrees to exhaust the Association's internal resolution and private arbitration procedures before pursuing outside adjudication and waives external legal action, public complaint, or outside adjudication to the fullest extent permitted by this Agreement, except where a Member faces clear and present danger of substantial harm and internal resolution has been pursued or is impossible due to immediate danger.

Where binding arbitration applies, disputes shall be resolved individually, and the Member waives participation in any class, collective, or representative action.

These private dispute-resolution obligations are binding terms of the parties' voluntary contractual and associational relationship.

SECTION 9 — PRIVATE POSTURE AND ASSOCIATIONAL RIGHTS

Food Alkhemix is a private membership association and auxiliary of Temple of Conscious Living, a Private Ministerial Faith-Based Association, existing by voluntary private agreement among its Members and operating exclusively under common law and private contract principles.

Guided by the sacred principle to do no harm, Food Alkhemix operates in alignment with rights granted by Creator and acknowledged through Natural Law, spiritual conscience, private contract, freedom of assembly, freedom of association, freedom of speech, freedom of spiritual exercise, and privacy.

Food Alkhemix provides a private space for Members to gather, explore, study, practice, and exchange in furtherance of its mission and the mission of Temple of Conscious Living.

The Member acknowledges that the private contractual and associational nature of Food Alkhemix is fundamental to the Association and agrees to preserve and respect that private posture in accordance with this Agreement and the governing documents.

SECTION 10 — EDUCATIONAL AND PROFESSIONAL NATURE

Food Alkhemix does not provide medical, legal, financial, psychological, psychiatric, tax, or other licensed professional advice or services.

Teachings, sessions, discussions, writings, recordings, resources, circles, intuitive reflections, ministerial support, and other Member experiences are offered for private education, spiritual inquiry, nourishment, embodiment, personal discernment, and living-systems exploration.

Nothing within Food Alkhemix is intended to diagnose, treat, cure, prescribe, prevent, or manage any disease or condition, or to replace professional medical, legal, financial, psychological, psychiatric, tax, or other licensed professional care.

The Member remains responsible for determining what outside advisors, practitioners, counselors, physicians, attorneys, accountants, or other support the Member chooses to consult.

SECTION 11 — PRIVATE MATERIALS AND INTELLECTUAL PROPERTY

Food Alkhemix teachings, writings, recordings, videos, audios, PDFs, guides, recipes, frameworks, rituals, practices, course materials, private resources, and Member materials are private, proprietary, and protected. Such materials may be owned, stewarded, or controlled by Food Alkhemix, Temple of Conscious Living, Vanita K. Gupta, Sacred Earth Sovereign Press, or the respective creator or contributor.

Member access is granted solely for personal, private, educational, spiritual, and self-inquiry use. The Member may not reproduce, distribute, publish, teach, resell, train from, upload, scrape, extract, imitate, copy, or create public or commercial derivative works from private Food Alkhemix materials without express written permission.

Some Food Alkhemix works may exist publicly, including books, podcast episodes, interviews, writings, or general educational resources. Public works do not create membership or convert private Member teachings, materials, pathways, communications, or experiences into public content, public commerce, public advice, or public education.

SECTION 12 — MEMBER RECORDS AND COMMUNICATIONS

The Member's relationship with Food Alkhemix, communications with the Association and other Members, and records maintained by the Association are private and shall be handled in accordance with this Agreement and the Privacy Policy.

The Association may communicate with the Member by email, Member portal, postal mail, or other reasonable means associated with membership. SMS communications shall be sent only where the Member has separately opted in and may be discontinued by the Member without affecting membership.

Food Alkhemix may use third-party service providers for functions such as hosting, communications, payment processing, and Member administration. Use of such providers does not alter the private nature of the Member's relationship with the Association.

SECTION 13 — MEMBER ACKNOWLEDGEMENTS AND REPRESENTATIONS

The Member acknowledges and represents that:

The Member has legal capacity to enter this Agreement, has read and understands its terms, and enters voluntarily, knowingly, intentionally, and without coercion or duress.

The information provided in connection with membership is true, accurate, and complete to the Member's knowledge. The Member agrees to use the Member's true first name and full last name and not to enter the Association under a false, deceptive, or concealed identity.

The Member enters Food Alkhemix in the Member's private capacity and for genuine personal, educational, spiritual, or other purposes consistent with the mission of the Association.

The Member is not entering as an undisclosed agent, officer, employee, investigator, representative, or enforcer of any local, state, or federal agency, regulatory body, public entity, corporation, organization, platform, or investigative authority, nor for purposes of regulation, enforcement, investigation, entrapment, surveillance, evidence-gathering, content extraction, disruption, or interference with the Association.

The Member shall not hold themselves out as an agent or representative of Food Alkhemix or Temple of Conscious Living without express written authorization.

The Member understands and accepts the private nature of Food Alkhemix and the Member's obligations concerning confidentiality, privacy, personal responsibility, conduct, and private dispute resolution.

SECTION 14 — ENTIRE AGREEMENT AND GOVERNING PRINCIPLES

This Agreement, together with the Bylaws, Privacy Policy, and any applicable pathway-specific agreements, Member offering terms, community guidelines, or other written terms governing participation, constitutes the complete agreement between the Member and Food Alkhemix.

In any conflict among these documents, the Bylaws control; in any conflict between the Bylaws and the equitable foundation set forth in Article I of the Bylaws, that foundation prevails.

The Association may amend this Agreement in accordance with the Bylaws. Editorial changes do not require re-execution. Substantive amendments affecting Member rights, Association authority, or governance procedures require re-execution where required by the Bylaws, with reasonable notice and an opportunity to withdraw before the amendment takes effect.

This Agreement shall be interpreted according to its stated purpose, intent, private nature, and express terms. No single word, phrase, section, or provision shall be used to defeat, collapse, or convert the private nature of this Agreement or the private associational standing of Food Alkhemix.

Questions concerning the meaning, application, or administration of this Agreement shall first be addressed internally by Food Alkhemix and/or Temple of Conscious Living.

This Agreement is governed by the Bylaws of the Association and, to the extent not addressed therein, by Equity and such law as applies to the matter in question.

For purposes of this Agreement, “Court of Competent Jurisdiction” means internal arbitration, private Association process, the law of Equity, common law, and any lawful tribunal, council, steward, or forum recognized by Food Alkhemix and/or Temple of Conscious Living as competent to hear a private Association matter, without presumption of public statutory franchise or public commercial jurisdiction over internal Association affairs.

If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect, and the affected provision shall be modified only to the minimum extent necessary to preserve its purpose.

Failure by either party to enforce any provision does not waive the right to enforce it later.

This Agreement and membership are personal to the Member and may not be assigned without written authorization from the Association.

SECTION 15 — MEMBER RESPONSIBILITY, ACCESS, AND MEMBER OFFERINGS

The Member accepts full responsibility for the Member's participation in and experience of Food Alkhemix teachings, sessions, practices, resources, pathways, gatherings, and other Member experiences, including any physical, emotional, mental, spiritual, or energetic experiences, effects, responses, changes, or outcomes arising from or associated with that participation.

The Member remains responsible for the Member's own interpretation, discernment, choices, actions, application, participation, decisions, outcomes, and results.

To the fullest extent permitted by this Agreement, the Member agrees to hold harmless Food Alkhemix, Temple of Conscious Living, VK Gupta FA Trust, their Leadership, founders, trustees, stewards, managers, ministers, facilitators, contributors, speakers, affiliates, and fellow Members from claims arising from the Member's own participation, experience, use, interpretation, application, choices, decisions, outcomes, or results.

The Member agrees to bring any billing, contribution, access, account, session, pathway, or membership concern directly to Food Alkhemix and allow a reasonable opportunity for internal resolution before initiating an outside payment dispute.

Unless otherwise stated in writing, Member offerings become final once private access, downloadable materials, digital resources, recordings, sessions, events, circles, reservations, or other Member benefits have been provided or substantial preparation has been undertaken for the Member's participation.

Withdrawal, cancellation, or termination does not entitle the Member to prorated or returned Member offerings except as expressly provided by the applicable offering terms, this Agreement, or the Bylaws.

SECTION 16 — ELECTRONIC EXECUTION AND ACCEPTANCE

The Member consents to executing this Agreement electronically pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act as adopted by applicable jurisdictions.

By checking the applicable consent box and executing this Agreement electronically, the Member confirms that the Member has read, understands, and accepts its terms. The Member's electronic signature carries the same intent as a handwritten signature, and a copy of the Agreement may be requested.

Execution of this Agreement constitutes the Member's binding acceptance of its terms and formal request for membership. Membership begins only upon acceptance by Food Alkhemix. 

If the Member does not agree to this Agreement, the Member shall not execute it, enter the private portal, access private Member materials, enroll in pathways, or participate in Food Alkhemix.

PRIVATE MEMBER NOTICE

Food Alkhemix Private Membership Association is a private, Members-only association and auxiliary of Temple of Conscious Living, a 508 (c)(1)(a) Private Ministerial Faith-Based Association.

Private teachings, sessions, circles, recordings, writings, practices, resources, Member communications, and materials are provided for private education, spiritual inquiry, nourishment, embodiment, self-governance, and personal discernment.

Nothing offered within Food Alkhemix constitutes medical, legal, financial, psychological, psychiatric, tax, or other licensed professional advice.

Private Member materials are intended solely for accepted Members. Unauthorized copying, recording, extraction, publication, distribution, reproduction, teaching, sale, or other use is prohibited without express written permission.

Food Alkhemix and Temple of Conscious Living reserve all rights to protect the privacy of Members, the confidentiality of private Member spaces, the integrity of private teachings, and the terms of this Agreement.
